Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Partna ("we," "us," or "our"), including our APIs, dashboard, website, and related payment infrastructure (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use our Services.
2. Service Description
Partna provides stablecoin-powered payment infrastructure that enables businesses to:
- Convert between local African currencies and USD-denominated stablecoins (onramp/offramp)
- Collect payments in local currencies and settle in USD or stablecoins
- Process cross-border payments between African markets and global counterparties
Our Services are provided through programmatic APIs and an online dashboard. We act as an infrastructure provider and do not hold customer funds beyond what is necessary to complete pending transactions.
3. Eligibility
To use our Services, you must: (a) be at least 18 years of age; (b) be a duly organized business entity or an authorized representative thereof; (c) not be located in, or a resident of, any jurisdiction where the use of our Services would be prohibited by applicable law or sanctions; and (d) successfully complete our KYC/KYB verification process.
We reserve the right to refuse service to any person or entity at our sole discretion.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials, API keys, and secret tokens. You must notify us immediately of any unauthorized use of your account or any security breach. We are not liable for any loss arising from your failure to safeguard your credentials.
You agree to provide accurate, current, and complete information during the registration process and to update such information as needed.
5. Acceptable Use
You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations. You may use our APIs and infrastructure to build and operate payment features within your own products, subject to these Terms and our API documentation.
6. Prohibited Activities
You must not use our Services to:
- Engage in, facilitate, or support money laundering, terrorist financing, or any financial crime
- Process transactions involving sanctioned persons, entities, or jurisdictions
- Conduct fraudulent, deceptive, or misleading activities
- Circumvent or attempt to circumvent our compliance controls, rate limits, or security measures
- Reverse-engineer, decompile, or attempt to derive the source code of our Services
- Use our Services for any illegal gambling, unlicensed securities activities, or other prohibited purposes
- Resell, sublicense, or redistribute access to our APIs without our prior written consent
7. Fees and Payment
Fees for using our Services are set forth in your service agreement or as published on our website and API documentation. Transaction fees are deducted at the time of settlement. We reserve the right to modify our fee structure with reasonable advance notice. Continued use of the Services after fee changes take effect constitutes your acceptance of the updated fees.
8. Intellectual Property
All rights, title, and interest in and to the Services, including our APIs, documentation, trademarks, and proprietary technology, are and remain the exclusive property of Partna. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.
9. API Usage and Rate Limits
Your use of our APIs is subject to rate limits and usage quotas as specified in our API documentation. We may throttle, suspend, or restrict your API access if your usage exceeds agreed-upon limits, degrades the service for other users, or violates these Terms. You are responsible for implementing appropriate error handling and retry logic in your integration.
10. Data Processing
Your use of our Services involves the processing of personal and financial data. Our collection, use, and protection of such data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of our Services complies with applicable data protection laws in your jurisdiction.
11. Disclaimers and Limitation of Liability
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Partna in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Partna and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claims resulting from your products or services that use our infrastructure.
13. Suspension and Termination
We may suspend or terminate your access to the Services immediately and without prior notice if: (a) you breach these Terms; (b) we are required to do so by law or regulatory order; (c) we reasonably believe your account is associated with fraudulent or illegal activity; or (d) you fail to pay applicable fees.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. We will process any pending transactions and settle outstanding balances in accordance with our standard procedures.
14. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, internet or telecommunications failures, power outages, or failures of third-party banking or payment systems.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes through our website, dashboard, or email. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
